Annual General Meeting passes all resolutions proposed by management
- Record dividend of EUR 0.35 per share approved
- Forecast 2022 and targets of "Agenda 2025" confirmed
At today's virtual 23rd Annual General Meeting of S&T AG (www.snt.at), all management proposals were approved by the company's shareholders. Around 51% of the share capital was represented.
Record dividend
The dividend proposal of 35 cent for fiscal 2021 was approved by a large majority. The dividend will be paid out as of May 25, 2022 by crediting the account of the depositary banks. The ex-dividend date is May 23, 2022, the record date for the dividend is May 24, 2022. The Austrian capital gains tax payable on the dividend will be withheld by the company and paid to the competent tax office. S&T AG has published a guideline for its shareholders on its Investor Relations website (https://ir.snt.at/Annual_General_Meeting.en.html) regarding the possible reimbursement of capital gains tax.
Two Supervisory Board members elected
The Annual General Meeting re-elected Steve Chu, CEO of Ennoconn Corporation, to the Supervisory Board. Furthermore, technology expert Joe Fijak was newly elected to the Supervisory Board of S&T AG. In the constituent meeting of the Supervisory Board following the Annual General Meeting, Claudia Badstöber was re-elected as Chairwoman of the Supervisory Board and Bernhard Chwatal was elected as her deputy. All committees of the Supervisory Board continue to have three members, the majority of whom are independent.
Confirmation of the forecast for 2022 and 2023
The Management Board's report confirmed S&T AG's good start to the 2022 financial year as well as the company's business forecasts for the current 2022 financial year. S&T plans to achieve revenues of at least EUR 1.5 billion and profitability (EBITDA) of at least EUR 150 million in 2022. As part of its "Agenda 2025", the company plans to increase revenues to EUR 2 billion and profitability (EBITDA) to EUR 260 million, taking into account the sale of the IT services business ("Focus" project), which is currently being evaluated.
